The Electronic Meeting System (e-GEM) is an integrated platform that enables all stakeholders (company, shareholder, representative, etc.) to conduct every stage of the general meeting process electronically, including participation, voting and documentation.
e-GEM facilitates the remote participation of shareholders in general assembly meetings via real time audio and video transmission, eliminating the need for physical presence. It enables shareholders to follow the meeting live from any location with internet access submit opinions and proposals regarding the agenda items in real time, cast their votes concurrently with on-site attendees and appoint proxies through electronic means.
As part of the work of the OECD's Corporate Governance Committee, the OECD conducted a peer review of regulatory policy frameworks and good practices for general shareholder meetings of listed companies in 2024 and published a report entitled "Shareholder Meetings and Corporate Governance: Trends and Implications". It highlights that Türkiye successfully meets the needs of all market participants for the conduct of general meetings in a hybrid format, and emphasizes that Türkiye is one step ahead of other jurisdictions reviewed in providing a platform that gives shareholders a choice between participating remotely in a hybrid format or in-person attendance at the meeting.
